1. Purpose
This NCNDA protects sellers listed on Pomegranat.io and the introductions Pomegranat.io facilitates between sellers and verified buyers. It supplements (does not replace) the Platform Confidentiality Agreement you signed when joining.
2. Confidential Information
All information disclosed through the platform — identity of the seller, financials, customer data, contracts, employee data, technology, operational metrics, and the existence of any sale discussion — is Confidential Information.
3. Non-Disclosure
Each party will keep Confidential Information strictly confidential, will use it only to evaluate or progress the introduced opportunity, and will not disclose it to any third party without the disclosing party's prior written consent.
4. Non-Circumvention
Without Pomegranat.io's prior written consent, no party introduced through the platform shall, for a period of 24 months, directly or indirectly contact, solicit, transact with, or enter into any agreement with the other party in a manner that circumvents Pomegranat.io's role and fees.
5. Permitted disclosures
Disclosures are permitted to advisers (legal, financial, tax) under equivalent confidentiality obligations and where required by law, regulation, or court order — provided that, where lawful, the disclosing party gives prompt notice.
6. Return or destruction
If discussions end without a transaction, each recipient will, on request, return or securely destroy Confidential Information and confirm in writing.
7. Term
Non-disclosure obligations survive for 5 years from the date of disclosure; non-circumvention obligations survive for 24 months from the date of introduction.
8. Remedies
Breach may cause irreparable harm for which damages are inadequate. The injured party is entitled to seek injunctive relief in addition to other remedies available at law.
9. Governing law
This NCNDA is governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over disputes arising from it.
